ARTICLE I. NAME

This organization shall be known as Associated Administrators of Los Angeles (AALA). For the purposes of the Constitution and Bylaws, AALA will be known as the "Association".
ARTICLE II. CODE OF PROFESSIONAL ETHICS
- Success of students must be the fundamental basis of administrative decision-making and actions.
- Personal integrity and honesty must form the basis of all professional relationships.
- Members must uphold the honor and dignity of the profession in all their actions.
- Civility and mutual respect must characterize all interactions between and among members.
- The workplace must be free from hostility or discrimination of any kind.
- When the Association formally speaks on behalf of its membership, it does so with a united voice.
ARTICLE III. PURPOSE
- To promote the general welfare of all active and retired members of the Association.
- To represent active members in their relationship with the Los Angeles Unified School District.
- To communicate the Association’s point of view to the Board of Education, the Superintendent, the Local District Superintendents and other District personnel, local and state agencies, the media and public at large.
- To build and maintain collaborations that promote the objectives of the Association.
- To support and mentor new members of our Association as they embark upon their careers.
ARTICLE IV. MEMBERSHIP
- Active members are defined as LAUSD certificated Master Salary Table (G) employees below the level
of superintendent, with the exception of those designated as confidential.
- Retired administrators are eligible for non-voting, retired associate membership.
- Alliliate, non-voting membership is available to those certificated LAUSD employees who either
hold an administrative credential, are enrolled in a program leading to such a credential, are serving
in a quasi-administrative position, or are on a current District promotional list or pool.
ARTICLE V. EXECUTIVE BOARD
- The Executive Board shall be the planning body of the Association and shall schedule regular meetings
of the Board and the Representative Assembly.
- The Board shall be comprised of thirteen (13) members, including the President, who is elected at-large,
one Vice-President and two Directors from, and elected by, each of the following departments:
Adult, Elementary, Secondary and Supervisory.
- A quorum shall consist of seven (7) members.
- The Executive Board shall present adopted motions to the Representative Assembly for its approval.
- The Executive Board shall determine policies and procedures and shall conduct the affairs of the Association.
- The Executive Board shall review the performance evaluation of Association employees on an annual basis and
make appropriate recommendations regarding continued employment.
- The Executive Board shall counsel and advise the President regarding matters of Association fiscal policy,
subject to ratification by the Representative Assembly.
- The Executive Board shall have the authority to act on behalf of the Association during emergency situations.
- Executive Board members may participate as members of the negotiating teams.
ARTICLE. VI REPRESENTATIVE ASSEMBLY
- The Representative Assembly shall serve as the policy-making body of the Association. The members of the Representative Assembly shall be selected as specified in the bylaws.
- The Representative Assembly shall take appropriate action for the welfare of the membership.
- The Executive Board shall annually audit the membership of the Association and adjust Representative Assembly allocations as specified in the Bylaws.
- In addition to the Members specified in Section 3 of the Bylaws, Members of the Executive Board shall also be voting Members of the Representative Assembly.
- One (1) more than 50% of the membership of the Representative Assembly shall constitute a quorum.
- A majority vote of those present is necessary to pass motions.
- Action taken by the Representative Assembly shall be binding on all members.
ARTICLE VII. OFFICERS
- The officers of the Association include the President, four (4) Vice-presidents, and eight (8) Directors.
- One of the four (4) Vice-presidents shall serve as Secretary, one as Treasurer, one as Liaison to Standing Committees, and one as President Pro Tem.
- The officers shall be elected for three (3) –year terms.
ARTICLE VIII. DUTIES AND RESPONSIBILITIES OF THE PRESIDENT
- The President shall be released from District duties for the period of his/her term of office.
- The President shall act as chairperson of the Executive Board.
- The President shall designate one of the four Vice-presidents to serve as Secretary, one as Treasurer, one as Liaison to the Standing Committees, and one as President Pro Tem.
- The President is responsible for the staffing and management of the Association office. No personnel contracts shall extend beyond the term of the President.
- The President shall serve as chief negotiator for the Association and shall be responsible for selecting members of the negotiating team.
ARTICLE XI. DUES
- Annual dues will be determined as specified in the Bylaws.
ARTICLE X. AMENDMENTS
- Constitutional amendments may be proposed by a majority vote of the Representative Assembly.
Such proposed changes must be sent to the members-at-large and ratified by a majority of the regular
active members voting.
- A petition signed by 15% of the regular active members may also propose constitutional amendments.
Qualified proposed Constitutional amendments ultimately require ratification by a vote of regular active members.
A majority (50% + 1) of members responding will qualify for ratification.
